confidentiality agreement
(Mutual non-disclosure agreement)
1. Purpose of the agreement
The parties intend to exchange information that must be treated as confidential in the context of discussions, analyses, offers, or projects.
2. Definition of confidential information
Confidential information includes all information that is not publicly known, in particular technical, economic, and organizational information, business models, concepts, offers, prices, customers, partners, suppliers, software, source code, architectures, AI models, prompts, data structures, and all documents marked as confidential.
3. Confidentiality obligation
The parties undertake to use confidential information exclusively for the agreed purpose, not to disclose it to third parties, to take appropriate protective measures, and to restrict access to authorized persons.
7. Term
The confidentiality obligation shall apply for 36 months from the last exchange of confidential information.
10. Applicable law
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
